Finance Department

Resolution 2008-51: Resolution of the South Jersey Transportation Authority authorizing the extension of the contract with Ford, Scott, Seidenburg and Kennedy, LLC for professional auditing services_________________________________________________________________
This resolution authorizes the extension of the contract with Ford, Scott, Seidenburg & Kennedy for audit services. The Authority publicly advertised for Request for Proposals on July 11, 2006. In response to advertisements, five (5) proposals were received, opened and reviewed and it was determined that Ford, Scott, Seidenburg & Kennedy, LLC submitted the most responsible proposal

meeting all the specification requirements. The term was for two (2) years with the option to renew for two (2) one-year periods not to exceed $42,875.00 for the year 2006 and not to exceed $43,700.00 for the year 2007. The Authority desires to exercise their option to extend the contract for the first one (1) year period for the year 2008 for an amount not to exceed $43,700.00.

Executive Department

Resolution 2008-52: Resolution of the South Jersey Transportation Authority authorizing the appointments of General Counsel and Special Counsel for the Authority_________________
This resolution authorizes the appointments of General and Special Counsel to the Authority. The Authority publicly advertised for Request for Proposals on April 14 and 15, 2008 pursuant to Executive Order No. 37. In response to the advertisements, seven (7) proposals were received on May 16, 2008 and were opened and reviewed by the Consultant Selection Committee on May 22, 2008. The terms will be for one (1) year commencing on August 1, 2008 with a one (1) year option to renew with hourly rates at $220.00 per hour for partners and $175.00 per hour for all others. Based on the Consultant Selection Committee evaluation and the recommendation of the Director of Policy and Planning, it is recommended that the Authority appoint as its Counsel the following four (4) firms:

The following Engineering and Operations Department resolutions are to be approved by Consent Agenda:

Resolution 2008-53: Resolution of the South Jersey Transportation Authority authorizing the award of a contract to Allied Painting, Inc. for the 2008 Bridge Repair Program on the Atlantic City Expressway__________________________________________________________
This resolution authorizes the award of a contract to Allied Painting for bridge repair for the Atlantic City Expressway and the Atlantic City Brigantine Connector. On May 2 and 3, 2008, the Authority publicly advertised for bids. In response to the advertisements, four (4) bids were received and reviewed with Allied Painting, Inc. providing the lowest responsible bid in an amount not to exceed $390,170.00.

Resolution 2008-54: Resolution of the South Jersey Transportation Authority authorizing the execution of an Interoperable Communications Equipment Grant from the New Jersey Office of Homeland Security and Preparedness____________________________________________
The New Jersey Office of Homeland Security and Preparedness has offered the Authority a grant in the amount of $682,520.00 for the purposes of upgrading the Atlantic City Expressway and the Atlantic City International Airport radio equipment to the 800 megahertz system consistent with the State Interoperability Plan. When completed, Authority personnel will have full communications with State Police and emergency personnel in surrounding counties. The cost to the Authority is a five (5%) percent match or $34,100.00.

Resolution 2008-55: Resolution of the South Jersey Transportation Authority authorizing the award of a contract to American Association of Airport Executives for the design and installation of a Part 139 Interactive Employee Training System at the Atlantic City International Airport____________________________________________________________
On May 8 and 9, 2008, the Authority publicly advertised for bids. One (1) bid was received with American Association of Airport Executives (AAAE) providing the lowest responsible bid in an amount not to exceed $222,000.00. This project consists of designing, producing and installing a complete interactive Part 139 Airport Operations Training Program and Testing Module for the Atlantic City International Airport’s Interactive Employee Training System. The project is funded with a grant from the FAA which is for ninety-five (95%) percent of the project cost.

Resolution 2008-56: Resolution of the South Jersey Transportation Authority authorizing the award of a contract to Optimum Controls Corporation for the upgrade of the security camera system at the Atlantic City International Airport_____________________________________
On May 9 and 10, 2008 the Authority publicly advertised for bids. Seven (7) bids were received with Optimum Controls Corporation providing the lowest responsible bid in an amount not to exceed $283,482.00. The project consists of providing all computer equipment, IP cameras and supplies necessary to perform overall installation and integration of the camera security system into the SJTA network at the Atlantic City International Airport. The project is funded with a grant from the FAA which is for ninety-five (95%) of the project cost.

Resolution 2008-57: Resolution of the South Jersey Transportation Authority authorizing the award of a contract to Penn Jersey Machinery for the purchase of snow removal equipment at the Atlantic City International Airport_____________________________________________
On May 15 and 16, 2008 the Authority publicly advertised for bids. One (1) bid was received with Penn Jersey Machinery providing the lowest responsible bid in an amount not to exceed $1,393,179.00. The project consists of furnishing and delivery of one (1) 4x4 All Wheel Drive Cab Forward Chassis with a 5,000 TPD Blower and eighteen (18’) foot Runway Broom and one (1) 4x4 All Wheel Drive Cab Forward Chassis with a twenty (20’) foot Power Reversible Polyethylene

Flared End Plow with multi-purpose hitch and eighteen (18’) foot Runway Broom for the Atlantic City International Airport. The project is funded with a grant from the FAA which is for ninety-five (95%) percent of the project cost.
Airport Department

Resolution 2008-58: Resolution of the South Jersey Transportation Authority authorizing the execution of agreements for automobile rental concessions at the Atlantic City International Airport________________________________________________________________________
This resolution will allow the Authority to expand the number of automobile rental concessions from three (3) to four (4) and relocate the rental operations into the newly constructed parking garage at the Atlantic City International Airport. A Request for Proposal was publicly advertised on the OEG and SJTA Websites, AC Press, and the Courier Post on March 20 and March 21, 2008. Four (4) proposals were received and reviewed on May 21, 2008; Avis Rent-A-Car System, LLC, Budget Rent-A-Car System, Enterprise Rent-A-Car and Hertz Corporation and determined that all four (4) companies were beneficial owner-operator concessions that would provide rental car services to the air travelers and public at Atlantic City International Airport. The terms of the agreements for the Avis Rent-A-Car System, LLC, Budget Rent-A-Car System, Enterprise Leasing Company and the Hertz Corporation will provide automobile rental concessions for five (5) years beginning August 1, 2008 for approximately nine-hundred (900) square feet of space, with the minimum annual guarantee of $109,000.00, $114,750.00, $75,000.00 and $185,000.00 in the first contract year or ten (10%) percent of gross receipts whichever is greater.

Tourist Services Department

The following Tourist Services Department resolutions are to be approved by Consent Agenda:

Resolution 2008-59: Resolution of the South Jersey Transportation Authority authorizing the entry into Motorist Services Logo Sign Agreements with motorist services logo sign program participants to produce, install and maintain participant logo signs along the Atlantic City Expressway____________________________________________________________________
This resolution authorizes the entry into an agreement for Motorist Services Logo Signs, consisting of the participant’s name, trademark or symbol and identification and directional information for authorized motorist services to the traveling public. The logo signs are approved by FHWA and NJDOT within the highway rights-of-way. The Authority issued a solicitation letter to prospective participants on August 10, 2007 advising them, if interested, to complete a Logo Program Application for acceptance as a participant in the logo program. The participant must pay a Two Hundred ($200.00) Dollar, one-time production fee and $3,000.00 per year for two (2) logos on Expressway signs and $2,000.00 per year for four (4) logos on ramp signs. If the prospective participant who completes the application and meets the eligibility criteria, having one or more of the

following services; gasoline, food, lodging, medical care, prescription services and major attractions, the participant is advised to complete the form agreement. The Authority will then manufacture, install and maintain the participant logos and logo signs along the Expressway. The term of the form agreement is for one (1) year with renewal periods of one (1) year, if by mutual written consent of the Authority and the participant under the same terms and conditions.

Resolution 2008-60: Resolution of the South Jersey Transportation Authority authorizing the entry into an amended agreement with the South Jersey Railroad regarding the lease of the railroad trestle bridge over the Atlantic City Expressway at Milepost 2.5 to repaint and attach advertising structures to the trestle_________________________________________________
The trestle, the supporting bridge beam, is owned by the South Jersey Railroad (SJR) and is located at Milepost 2.5 on the Expressway and overpasses the Expressway right-of-way. The trestle is unsightly and presents an opportunity for the Authority to generate non-toll revenue with no capital contributions by the Authority. The Authority and the SJR entered into an agreement that provides the Authority with the exclusive right to place advertising on the trestle. SJR has agreed with the plan to contract to, repaint the trestle and to place advertising structures on the trestle in exchange for sharing advertising revenue. Interstate Outdoor Advertising, L.P. was awarded a contract via RFP process to take all actions necessary to repaint the trestle and to attach and maintain advertising structures on the trestle. Certain terms contained in the Letter Agreement between the Authority and SJR must be amended so that the terms of the Advertising Agreement and Letter Agreement are consistent to avoid any conflict between the terms of the two separate agreements.

Resolution 2008-61: Resolution of the South Jersey Transportation Authority authorizing the entry into a contract with Interstate Outdoor Advertising to lease the railroad trestle bridge over the Atlantic City Expressway at Milepost 2.5 to repaint and attach advertising structures to the trestle___________________________________________________________________
The railroad trestle located at Milepost 2.5 is owned by the South Jersey Railroad (SJR) and extends over the Expressway right-of-way. The trestle has fallen into disrepair and is unsightly. Pursuant to an RFP publicly advertised, Interstate has agreed to take all actions necessary to repaint and affix outdoor advertising structures to the trestle with no capital contribution by the Authority. The Authority and SJR entered into a Letter Agreement that provides the Authority with the exclusive right to place advertising on the trestle and allows the Authority to proceed with its plan to remediate/repaint the trestle in exchange for fifteen (15%) percent of the net revenue generated by the trestle advertising. Interstate will be permitted to recoup capital costs from advertising revenue over the ten (10) year life of the agreement. Should the capital investment, excluding the cost of the advertising structures, exceed $500,000, then the initial agreement term of ten (10) years, will be extended by two (2) years for each $50,000.00 expended over the initial $500,000.00. It is estimated that the advertising on the trestle will generate approximately $100,000.00 annually for the Authority.

The Authority will not incur any costs related to the installation, maintenance or management of static advertising structures. An RFP was publicly advertised on September 18 and 19, 2007. Interstate submitted the only proposal in response to the RFP. In exchange for installing and managing the advertising structures, Interstate shall receive fifty (50%) percent of the net revenue. The Authority shall receive thirty-five (35%) percent of the net revenue. SJR shall receive fifteen (15%) percent of the net revenue generated from the sale of advertising placed on the advertising structures attached to the trestle. Interstate has agreed to advance up to $500,000.00 for the trestle remediation/repainting that shall be repaid to Interstate from advertising revenue over a payback period of ten (10) years. Any remediation costs in excess of $500,000.00 shall also be advanced by Interstate, but shall be repaid to Interstate on a dollar-for-dollar basis from advertising revenue until paid in full prior to any distributions of net revenue.

The Authority and Interstate met with Amstar, a remediation company with experience in remediating lead paint on bridges. Amstar’s quote for remediation, including repainting of the trestle, is $499,999.00, Amstar’s price quote, dated April 23, 2008, attached hereto. The April 22, 2008 Amstar letter is attached hereto setting forth the scope of services and timeframe. Interstate and Amstar would be the only parties to the remediation contract. SJR is to pay for an engineering inspection of the trestle to determine if the trestle can support the weight of the advertising structures. The Lease Agreement shall expire twenty (20) years from the date the advertising structures are attached to the trestle and ready to receive advertising display. Interstate has a one (1), ten (10) year option to renew the lease.
